Terms of Service

The following Terms of Service (“Terms”) govern your use of the services, software, and website (collectively, the “Service”) provided by InCloudVoice (“InCloudVoice,” “we,” “us,” or “our”). By creating an account or using any part of the Service, you agree to be bound by these Terms.

1. Service Description

InCloudVoice provides Voice over Internet Protocol (VoIP) services, including but not limited to, termination (outbound calling), origination (DID/inbound numbers), SMS/MMS, and hosted PBX features. The Service is provided “as is” and is dependent on your internet connectivity and equipment.

2. Eligibility and Account Responsibilities

  • Age: You must be at least 18 years old to use this Service.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials. All activities occurring under your account, including unauthorized calls made due to a compromised password or SIP credentials, are your financial responsibility.

Accuracy of Information: You agree to provide accurate, current, and complete information during the registration process.

3. Use of Service and Prohibited Conduct

You agree to use InCloudVoice only for lawful purposes. Prohibited activities include, but are not limited to:

  • Fraudulent Activity: Engaging in phishing, identity theft, or unauthorized access to other networks.
  • Spamming: Sending unsolicited bulk SMS/MMS messages or automated “robocalls” in violation of TCPA or other local regulations.
  • Reselling: You may not resell the Service unless explicitly authorized via a Reseller Agreement.

Network Interference: Attempting to bypass InCloudVoice billing or security measures.

4. Billing, Payments, and Refunds

  • Prepaid Model: InCloudVoice operates on a prepaid basis. You must maintain a positive balance to utilize the Service.
  • Rates: Rates for calls and DIDs are subject to change without notice, though we strive to provide updates via our website.
  • Taxes and Fees: You are responsible for all applicable federal, state, provincial, and local taxes or regulatory fees.

Refund Policy: Refunds for unused balances may be requested within 90 days of the original payment, subject to a small administrative processing fee. Bonus credits or promotional funds are non-refundable.

5. 911 and Emergency Calling (IMPORTANT)

WARNING: 911 SERVICE LIMITATIONS

VoIP 911 service operates differently than traditional landline 911.

  • Service Availability: 911 dialing will not function in the event of a power outage, internet failure, or if your InCloudVoice account is suspended for lack of funds.
  • Registration: You must register a physical address for each DID used for 911. If you move your equipment, you must update your location in the InCloudVoice portal immediately.

Liability: InCloudVoice shall not be liable for any failure of 911 services or the inability of any user to access emergency personnel.

6. Number Porting

While InCloudVoice supports Local Number Portability (LNP), we do not guarantee that every number can be ported into or out of our network. You are responsible for any fees associated with porting requests.

7. Limitation of Liability

InCloudVoice shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or the inability to use the Service, including but not limited to service outages, degraded voice quality, or data loss. Our total liability shall not exceed the amount paid by you to InCloudVoice during the one (1) month period preceding the event giving rise to the claim.

8. Indemnification

You agree to indemnify and hold harmless InCloudVoice, its officers, employees, and affiliates from any claims, losses, or damages (including legal fees) arising out of your breach of these Terms or your use of the Service.

9. Termination of Service

InCloudVoice reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to our network, or is otherwise illegal.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which InCloudVoice is incorporated, without regard to its conflict of law provisions.

11. Modifications to Terms

InCloudVoice reserves the right to modify these Terms at any time. Changes will become effective immediately upon being posted to our website. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
